Adams & Martin Group is partnering with a respected law firm to identify a Transactional Paralegal / Legal Assistant to support attorneys handling complex financing and corporate transactions.

Position Summary

The Transactional Paralegal / Legal Assistant will play a key role in transaction management, document preparation, corporate maintenance, and closing coordination. This position is ideal for a detail-oriented professional who thrives in a fast-paced, team-oriented legal environment.

Responsibilities

  • Draft, review, and organize transaction-related documents.
  • Prepare closing documents, certificates, resolutions, opinions, and related materials.
  • Manage document distribution through email and virtual data rooms.
  • Coordinate with clients, government agencies, vendors, and outside counsel.
  • Prepare closing checklists and assist with transaction closings.
  • Assemble and distribute final closing binders and transcripts.
  • Review executed documents for accuracy and completeness.
  • Maintain corporate records and assist with entity compliance requirements.
  • Proofread, format, redact, and compile legal documents and PDFs.
  • Assist with new matter intake, file management, attorney scheduling, and other administrative support functions.

Qualifications

  • 2-5 years of law firm experience as a Paralegal or Legal Assistant.
  • Transactional legal experience strongly preferred.
  • Bachelor's degree and/or Paralegal Certificate preferred.
  • Strong organizational, communication, and multitasking abilities.
  • Exceptional attention to detail and ability to manage competing deadlines.
  • Proficiency with Microsoft Word, Excel, PowerPoint, and document management systems.
  • Ability to work independently while collaborating effectively with attorneys and staff.
  • Flexibility to work additional hours when needed.
